According to the filing, Circle has not yet disclosed the number of shares or pricing details. However, the company reported $1.68 billion in total revenue for 2024, a notable increase from the previous year, with most of the income derived from interest on USDC reserves. Net income fell to $156.9 million from $271.5 million in 2023, though the company rebounded strongly from a $761.8 million loss in 2022. Proceeds from the IPO will be used for product development, business expansion, and potential acquisitions. Circle will adopt a three-tier share structure: Class A shares sold to the public will carry one vote per share, while Class B shares held by co-founders will carry five votes each but will be capped at 30% of total voting power.
